Terms of Service — TrackRoom

These Terms of Service ("Terms") are a legal agreement between you and Tone Tree LLC, a California limited liability company ("Tone Tree," "we," "us," or "our"), governing your use of the TrackRoom app on iPhone, iPad, and the web at tonetree.app (the "Service").
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
1. Eligibility
You must be at least 13 years old (or the minimum age of digital consent where you live) to use TrackRoom. If you use the Service on behalf of an organization (such as a school, studio, choir, or orchestra), you represent that you're authorized to bind that organization to these Terms.
2. Your account
- You sign in using Google or Apple. You're responsible for keeping access to your sign-in method secure and for all activity under your account.
- Notify us promptly at [email protected] if you believe your account has been compromised.
- You're responsible for the people you invite to collaborate and for what you share with them.
3. The license we grant you
Subject to these Terms and your applicable plan, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal or internal organizational purposes. This is a license to *use* the Service — it is not a sale of the software, and all rights not expressly granted are reserved by Tone Tree.
You may not:
- Copy, modify, distribute, sell, sublicense, or lease the Service;
- Reverse-engineer or attempt to extract the source code, except where the law expressly permits it;
- Circumvent, disable, or interfere with security, licensing, or usage limits;
- Resell or commercially redistribute access to the Service, or share a single license to evade collaborator or plan limits;
- Use the Service to build a competing product.
4. Your content
You own your content. Songs, versions, tracks, lyrics, chord charts, comments, and other material you upload ("Your Content") remain yours. We don't claim ownership of it.
The limited permission you give us. To operate the Service, you grant Tone Tree a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, and display Your Content solely as needed to provide the Service to you and the collaborators you choose — for example, storing your files, syncing them across your devices, and showing them to people you invite or to anyone you give a public share link. This permission exists only to run the Service; we do not sell Your Content, and we do not use it to train AI models. It ends when you delete the content or your account (subject to routine backups, as described in the Privacy Policy).
Your responsibilities for Your Content. You represent that you have the rights to upload and share Your Content and that doing so doesn't violate anyone's rights or any law. You are solely responsible for Your Content and for securing any necessary rights, licenses, or permissions (for example, from co-writers, performers, or rights holders) before uploading or sharing it.
5. Acceptable use
You agree not to use the Service to:
- Upload or share content that infringes copyright or other rights, or that is unlawful, harassing, abusive, defamatory, or obscene;
- Upload malware or attempt to gain unauthorized access to the Service, other accounts, or our systems;
- Disrupt, overload, or interfere with the Service or its infrastructure;
- Scrape, harvest, or collect data from the Service except as the Service expressly allows;
- Use the Service for any illegal purpose or in violation of these Terms.
6. Content moderation and removal
Because users can share content with others, we provide tools to report, block, and (for content owners) delete content. We may, but are not obligated to, review reported content. We reserve the right to remove content or suspend or terminate accounts that violate these Terms, our acceptable-use rules, or the law. We aim to act reasonably and, where appropriate, to give notice.
7. Copyright complaints (DMCA)
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice to [email protected] including: identification of the work, the location of the allegedly infringing content, your contact information, a statement of good-faith belief, a statement of accuracy under penalty of perjury, and your signature. We will respond to valid notices, including by removing infringing content and, where appropriate, terminating repeat infringers.
8. Plans, payments, and billing
TrackRoom offers a free tier and paid plans, which may include a one-time Lifetime purchase, a Monthly subscription, and annual Organization plans. Current pricing and plan features are shown in the app and on tonetree.app.
- Apple purchases. Purchases made on iPhone/iPad are processed by Apple under Apple's terms, and are subject to Apple's billing, renewal, and refund policies.
- Web purchases. Purchases made on the web are processed by our payment processor Paddle.
- Subscriptions renew automatically until cancelled. You can cancel anytime through your app store account (for Apple) or as described at checkout (for web); cancellation takes effect at the end of the current billing period.
- Free trials, where offered, convert to a paid subscription unless cancelled before the trial ends.
- Price changes. We may change prices going forward; changes won't affect a one-time purchase you've already made, and we'll give notice of subscription price changes as required.
9. Refunds
- Apple purchases: refunds are handled by Apple through its standard refund process — we can't issue them directly.
- Web purchases: we offer a 14-day money-back guarantee — contact [email protected] within 14 days of purchase for a full refund. Except as stated here or required by law, payments are non-refundable.
10. Free tier and beta features
We may offer free, trial, or beta features. These are provided "as is," may change or be discontinued at any time, and may have lower reliability than paid features. We may set or adjust limits on the free tier (such as the number of songs or collaborators).
11. Service availability and changes
We work to keep TrackRoom available and reliable, but we don't guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features (or the Service) at any time. We'll try to give reasonable notice of significant changes that adversely affect you. You are responsible for keeping your own copies of important files — TrackRoom is a collaboration tool, not a guaranteed backup service.
12. Third-party services
The Service integrates with third parties (such as Google, Apple, Cloudflare, RevenueCat, your optional Google Drive or Dropbox, and our payment processor). Your use of those services is governed by their terms and privacy policies, and we're not responsible for them.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or the law, or to protect the Service or other users. On termination, your license to use the Service ends. Sections that by their nature should survive (e.g., content ownership, disclaimers, limitation of liability, and dispute terms) will survive termination.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any content will be preserved without loss. Some jurisdictions don't allow certain warranty exclusions, so some of the above may not apply to you.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TONE TREE LLC AND ITS OWNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, CONTENT, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50. Some jurisdictions don't allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You agree to indemnify and hold harmless Tone Tree LLC and its owners from any claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or the rights of others.
17. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to their jurisdiction and venue.
18. Apple App Store terms
If you download TrackRoom from the Apple App Store, you acknowledge that these Terms are between you and Tone Tree LLC, not Apple, and that Apple is not responsible for the Service or its content. Apple has no obligation to provide support or to handle any claims relating to the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You also agree to comply with the Apple Media Services / App Store Terms of Use.
19. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date and, where appropriate, notify you in the app or by email. Continued use after an update means you accept the revised Terms.
20. Miscellaneous
- These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
- If any provision is found unenforceable, the rest remains in effect.
- Our failure to enforce a provision is not a waiver of it.
- You may not assign these Terms; we may assign them in connection with a business transfer.
